Wato Terms of Service


Effective Date: June 7, 2026

These Terms of Service ("Terms") govern your access to and use of Wato, Mesh, Wato-hosted artifacts, memory, agent, automation, and related services provided by Wato Labs, Inc. ("Wato," "we," "us," or "our"). By accessing or using Wato, you agree to these Terms. If you are using Wato on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

1. The Service
Wato provides software that helps teams use AI agents, workspace memory, hosted artifacts, automations, and integrations with third-party tools. The Service may include team-scoped memory, knowledge bases, reviewed wiki content, agent workspaces, automation tools, hosted artifacts, generated outputs, third-party integrations, authentication, permissions, and administrative controls. We may update, modify, suspend, or discontinue parts of the Service from time to time.

2. Accounts and Authorization
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate account and organization information and promptly update it when necessary. If you connect Wato to third-party services, you authorize Wato to access and process information from those services as necessary to provide the requested functionality. You are responsible for ensuring that you have the rights and permissions needed to connect those services to Wato.

3. Customer Data
"Customer Data" means content, messages, files, prompts, instructions, configuration, metadata, memory entries, artifacts, and other information submitted to, generated through, or made available to Wato by you or your organization. You retain ownership of your Customer Data. You grant Wato a limited license to host, process, transmit, display, and use Customer Data solely as necessary to provide, secure, support, improve, and maintain the Service, comply with law, and enforce these Terms. Wato does not sell Customer Data.

4. Third-Party Services
Wato may access third-party services that customers explicitly connect or authorize. Third-party services are governed by their own terms and privacy policies. Wato is not responsible for third-party services, their availability, or their handling of data.

5. Acceptable Use
You may not use Wato to violate applicable laws or regulations; infringe intellectual property, privacy, or other rights; upload or transmit malware, harmful code, or abusive content; attempt to gain unauthorized access to systems, data, accounts, or networks; interfere with or disrupt the Service; use the Service to create, send, or facilitate spam, phishing, fraud, or deceptive activity; bypass security, access controls, rate limits, or usage restrictions; or use Wato outputs as a substitute for professional legal, medical, financial, security, or other expert advice without appropriate review. You are responsible for reviewing AI-generated outputs before relying on, publishing, or acting on them.

6. AI Outputs and Artifacts
Wato may generate drafts, summaries, recommendations, code, documents, artifacts, or other outputs using AI systems. AI outputs may be inaccurate, incomplete, or inappropriate for a particular use case. You are responsible for evaluating outputs and determining whether they are suitable for your intended use. Wato does not guarantee that AI-generated outputs will be accurate, secure, non-infringing, or error-free.

7. Security
Wato uses reasonable administrative, technical, and organizational safeguards designed to protect Customer Data. However, no system is perfectly secure, and we cannot guarantee absolute security. You are responsible for configuring access permissions, managing users, reviewing connected integrations, and promptly notifying us of suspected security issues.

8. Data Retention and Deletion
Wato retains Customer Data only as long as needed to provide the Service, support customer-requested workflows, maintain security, comply with legal obligations, resolve disputes, and enforce agreements. Customers may request deletion of eligible Customer Data by contacting Wato. We will verify the requester’s authority, identify the data covered by the request, and delete or de-identify eligible data from active production systems within a reasonable period. Data may remain temporarily in backups, logs, audit records, or security records until normal expiration, and we may retain limited information where required for legal, security, fraud prevention, compliance, or legitimate business purposes.

9. Confidentiality
Each party may receive confidential information from the other. Confidential information must be used only to perform obligations or exercise rights under these Terms and must be protected using reasonable care. Confidential information does not include information that is publicly available, already known without restriction, independently developed, or lawfully obtained from a third party.

10. Fees and Payment
If you purchase a paid plan, you agree to pay all applicable fees according to the order form, subscription plan, or billing terms presented to you. Fees are non-refundable unless otherwise stated in writing or required by law. We may change pricing or billing terms with notice as required by applicable law or the applicable agreement.

11. Intellectual Property
Wato and its software, systems, designs, documentation, trademarks, and technology are owned by Wato or its licensors. Except for the rights expressly granted in these Terms, no rights are transferred to you. You may provide feedback or suggestions about Wato. We may use that feedback without restriction or obligation to you.

12. Suspension and Termination
You may stop using Wato at any time. We may suspend or terminate access to the Service if we reasonably believe that you have violated these Terms, created security risk, caused harm to Wato or others, failed to pay fees, or used the Service unlawfully. Upon termination, your right to use the Service ends. Certain provisions, including those related to payment, confidentiality, intellectual property, disclaimers, limitations of liability, and dispute resolution, will survive termination.


13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Wato does not warrant that the Service will be uninterrupted, secure, error-free, or that outputs will be accurate or complete.

14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATO'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO WATO FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

15. Indemnification
You agree to defend, indemnify, and hold harmless Wato from claims, damages, liabilities, losses, and expenses arising from your Customer Data, your use of the Service, your connected third-party services, your violation of these Terms, or your violation of law or third-party rights.

16. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice through the Service, by email, or by posting an updated version. Your continued use of the Service after changes become effective means you accept the updated Terms.

17. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The courts located in Delaware will have exclusive jurisdiction over disputes, unless another dispute process is agreed in writing.
